Once we have confirmed your company name is available, we will e-mail you a questionnaire which will enable us to complete all the statutory application forms and prepare the Memorandum and Articles of Association ready for your signature. If you are not familiar with the process of incorporating a UK Limited Company, you will need to give some advance thought to the following items, details of which will have to be entered on the application. 1. Proposed Registered Office: The company must have a registered office and this address must be in the UK . All statutory correspondence for the company will delivered to this address. PO Box numbers are not acceptable. 2. Company Secretary and Directors: A limited company must have a minimum of two officers: one Director and one Company Secretary who may also be an additional Director, though this is optional. Directors and the Company Secretary need not be resident in the UK. 3. Share Capital: You will need to decide how much share capital should be issued and who the shareholders will be. At the outset, it is quite common for a company to have a total authorised share capital of £100 or £1000 with shares of £1 each. Although the sum is authorised is does not all have to be issued. A minimum of one share must be issued to establish ownership of the company, but any number of shares up to the maximum authorised may be issued. As the company grows, the directors can issue more shares or shares to new people. Authorised share capital can be increased if required. Shareholders may be corporate or private individuals.
